Kevin Mathenge is a Partner at Mathenge Kimani Advocates LLP. Experience

  • Advising on all aspects of a syndicated senior debt facility of USD 33.4 million from FEI Ongrid, OikoCredit, and AfricaGoGreen to Solarise Africa. 

  • Advising Solarise Africa in respect of an investment of Rand 160 million (c. USD 8.9 million) by Mergence Investment Partners in Solarise South Africa.

  • Advising Solarise Africa in respect of a joint investment in Kenya with Rubis Energy Kenya Plc in the energy sector involving a debt and equity investment including successfully obtaining approvals from the COMESA Competition Commission and the Competition Authority of Kenya.

  • Advising Solarise Africa in respect of an investment of USD 3 million by EDFI ElectriFI in Solarise Africa.

  • Advising an investor on a potential acquisition of a renewable energy firm with operations in several countries in Sub Saharan Africa. 

  • Advising a start up on an investment of USD 1 million (convertible loan note) into the startup.

  • Advising a lender in respect of a restructuring of a loan facility of USD 300,000 to a US borrower and preparing and negotiating the restructuring documentation.

  • Advising Solarise Africa on: (a) offtake agreements, EPC contracts, and O&M contracts in countries of operation (including Kenya, South Africa, Uganda, and Rwanda); (b) entry into new jurisdictions and development of template documentation; and (c) compliance of existing products (solar PV systems, battery energy storage systems (BESS), and other energy solutions) with applicable laws including energy laws.

  • Advising a tech startup with a presence in Kenya and Nigeria on various transaction documents required as part of an acceleration program in the US (including a program agreement,stock purchase agreement, convertible promissory note, and stockholders' agreement), and assisting in the incorporation of a Delaware C corporation. 

  • Advising on and successfully negotiating the resolution of a dispute between shareholders with equal shareholding in a Kenyan fintech company including structuring and implementing the exit of one shareholder.
